Terms of Service

Welcome to Backeum!

By using Backeum, you agree to these terms. These are Backeum's Terms of Use, and they apply to all users of the Backeum platform. "We," "our," and "us" refer to Wikstrand Development AB. "Backeum" refers to this platform and our services, including the Backeum NFTs, Backeum APIs, Backeum embeds, Backeum.com (https://backeum.com), and Backeum's other websites. Using Backeum, you agree to these terms and the Privacy Policy (https://backeum.com/privacy-policy) and Community Guidelines (https://backeum.com/community-guidelines). Please read them carefully and let us know if you have any questions. For information about our data practices, please see our Privacy Policy (https://backeum.com/privacy-policy). We collect, use, and share information per those policies.

Your account

You must be at least 13 years old to use Backeum. You are responsible for your account. When you create an account, you must provide us with accurate information in good faith, and you agree to keep your information updated if it changes. To create an account or otherwise use Backeum, you must be at least 13 years old, and you must also be old enough to consent to the processing of your personal data in your country (in some countries, we may allow your parent or guardian to do so on your behalf). You must be at least 18 years old or have your parent's or legal guardian's permission to have a creator page on Backeum or to purchase an offering or subscription on Backeum. You must be at least 18 years old to subscribe to an Adult/18+ creator or purchase an offering related to such a creator. You are responsible for anything that occurs when anyone is signed in to your account, as well as the account's security.

Account access and responsibility

Access to Backeum accounts is exclusively authorized through your Radix Wallet. As a creator or backer, you are fully responsible for safeguarding your Radix Wallet credentials, including any necessary passwords, seed phrases, or other security measures. In the event that you lose access to your account, along with any associated creator badge, membership, or trophies within your Radix Wallet, Backeum is unable to recover your account or compensate for any losses or damages resulting from such loss of access. Users must understand that the security and confidentiality of their Radix Wallet are paramount, as this is the only way to ensure continued access to their accounts and assets on Backeum. Should you lose your seed phrase or otherwise compromise the security of your Radix Wallet, Backeum can suspend your account to prevent further abuse, but it cannot restore access to your account. It is, therefore, imperative for users to take all necessary precautions to secure their wallet information to avoid any potential disruptions or losses. Please get in touch with us (mailto://support@backeum.com) immediately if you believe your account is compromised.

Abusive conduct

Be responsible and do not violate our terms or policies. You are responsible for all activity on your account. If you violate our terms or policies, we may terminate your account. Please don't do anything illegal or abusive towards others that technically abuses Backeum or exploits Backeum in an unintended manner that is detrimental to us, like using Backeum as a storage platform. If you are a creator earning money on Backeum, you may be exposed to risk based on what you do with those funds. As a result, we may also look at what you do outside of Backeum. You can find more detailed information in the Community Guidelines (https://backeum.com/community-guidelines). These terms and our policies cover most issues, but if you find a new and creative way to hurt Backeum or our community, we may take action to prevent it.

All about being a creator

A creator is someone who creates a page on Backeum to engage with backers who purchase memberships or offerings on Backeum to support the creator's creations. There are many details below involving payments, fees, taxes, and restrictions that you should read in full if you are a creator.

Creator page

To become a creator, launch your page to start your trophy collection. When you join Backeum, you become part of the Backeum community. You can use creator tools that we provide to, among other things, showcase your creations and engage with the Backeum community. Memberships and trophies are for your most passionate fans. On Backeum, you can give your backers a trophy of encouragement and a membership. The trophies and memberships can be brought to services outside of Backeum's platform and provide additional benefits via other platforms.

To make sure Backeum is a safe community for everyone, we are required to have all creators sharing sexually explicit creations or creations that include nudity agree to certain additional requirements. If you are an Adult/ 18+ creator, then you agree to verify that you are over the age of 18 through the means requested by us, to verify that each person depicted in your creations is over the age of 18, and to obtain each such person's written consent to participate in your creations. For further information about this, please reach out to us (mailto://support@backeum.com) with a request to display nudity in either your profile or trophy collection. You agree to provide us with this proof of age verification promptly and consent if we request it.

Payments

As a creator, you may make endorsement available on Backeum on a one-time basis. Where supported, Backeum automatically converts the prices of endorsements into a backer's local currency based on a currency conversion rate that may be determined at our sole discretion.

Payments on the Backeum platform are only made via the distributed ledger technology Radix DLT (https://radixdlt.com).

We do not handle payment issues such as fraud and the resolution of payment disputes. Due to the nature of components used on Backeum, only the creator can access payments made to them. You may raise a complaint against a creator to Backeum. If a creator gets repeated complaints, we may terminate the creator's account.

We may also block the ability for backers to support a creator via Backeum due to violations of our terms or policies or compliance reasons, including collecting tax reporting information. When this happens, we try to communicate the reason to you promptly. If you have questions about this blocking, please reach out to us (mailto://support@backeum.com).

Fees

As a creator, fees are associated with your endorsements and paid memberships on Backeum. The general nature of these fees is summarized below. These fees may change with future updates of the Backeum components.

  • The donation fee may include a flat fee and/or is calculated as a percentage of successfully processed payments and excludes the Radix network payment processing fee.
  • Fees are statically set in the components and will not change on already instantiated components.
  • Feature-specific fees, which may arise from the use of particular Backeum features and may include a flat fee and/or are calculated as a percentage of successfully processed payments;
  • The payment processing fee, calculated by the Radix network, will be applied to any transaction that interacts with Backeum components, such as donating, starting trophy collections, or claiming donations.

Tax

In order to satisfy our tax obligations, we collect tax identification information and, in certain circumstances, report this information and earnings to tax authorities as legally required.

For example, if you are located within the EU or are an EU citizen who has earned €2000 or more via our platform, Backeum must report your income to the tax authority under the EU DAC7 directive.

You agree to provide us with any information and documents for accurate tax determination and compliance, where and as we request or as otherwise required.

Backeum operates on a decentralized ledger technology where creators can offer their products and services directly to backers through peer-to-peer transactions using Radix DLT. As Backeum does not control, handle funds, or provide escrow services, it cannot withhold or pay earnings or taxes to tax authorities on the creator's behalf.

You are responsible for reporting any income, withholding, or other earnings-based taxes that may be due to money you've earned on Backeum. You are liable to pay any Valued Added Tax ("VAT"), Goods and Services Tax ("GST"), or any other applicable taxes to the jurisdiction you operate in.

Backeum is not responsible for the collection or payment of taxes on any transactions made on the platform. Creators are urged to consult with a tax professional to understand their tax liabilities and adhere to all tax regulations and reporting requirements in their respective countries.

Backeum pays applicable taxes on the fees for providing the service to creators and backers.

Please note that all platform users agree to indemnify and hold Backeum harmless from any claims, demands, or damages related to tax obligations arising from sales made through the platform.

Restrictions

We don't allow creations and benefits that violate our terms or policies. A high-level summary of those rules is that we don't allow:

  • illegal creations or benefits;
  • creations or benefits that are abusive towards other people;
  • creations or benefits that are misleading or deceptive;
  • creations or benefits that use others' intellectual property, unless you have written permission to use it, or your use is protected as fair use, or
  • creations or benefits with real people engaging in sexual acts.

If your fans include people under the age of 18, then please remind them that they need their parent's or legal guardian's permission to purchase an offering or membership subscription on Backeum, and those under the age of 13 cannot use Backeum. We are not required to allow any particular person or group of persons to access an offering, be a backer, or otherwise access Backeum services.

As a creator, you are also responsible for keeping backers data safe.

An account is tied to your creative output and cannot be sold or transferred for use by another creator.

We constantly experiment with product features to improve Backeum and may add, remove, or test features with a subset of creators. Access to these features is not guaranteed and may not be subject to your control. Instead, we may enable and disable these early-access, beta, or test features at our sole discretion. These features may also be subject to additional restrictions and limitations.

All about being a backer

A backer is someone who makes a purchase on Backeum, which may come with special benefits from creators they love. Through a donation on Backeum, backers may receive benefits and directly interact with creators using tools supplied by us and, through Backeum, have the opportunity to engage with a community of backers and creators.

As a backer, you support a creator and may receive special benefits like shoutouts or exclusive creations. You pay on a one-time basis as specified.

To become a backer, simply purchase an endorsement on Backeum. Subject to these terms and full payment of all applicable charges, to the extent an endorsement includes access to one or more of a creator's creations, you receive a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and view those creations for your own private, personal, non-promotional, non-commercial use. Creations you gain access to in this manner will generally remain available but may become unavailable at any time, as described below.

We are not required to allow you to access an endorsement, be a backer of, or otherwise interact with any particular creator.

We attempt to screen for fraudulent creator pages but cannot guarantee the creators' identity or the validity of any claims they make. We appreciate your help reporting (mailto://support@backeum.com) suspicious creator pages so we can keep the Backeum community safe.

We constantly experiment with product features to improve Backeum and may add, remove, or test features with a subset of backers. Access to these features is not guaranteed and may not be subject to your control. Instead, we may enable and disable these early-access, beta, or test features at our sole discretion. These features may also be subject to additional restrictions and limitations.

Refund policy

Backeum operates on a decentralized ledger technology that allows creators to offer their goods and services directly to backers. As all transactions on Backeum are conducted in cryptocurrencies and are executed peer-to-peer, Backeum does not hold, manage, or facilitate the transfer of funds, and therefore does not offer refunds. All refunds are the sole responsibility of the individual creators.

It is the creators' responsibility to define their refund policies, which must be clearly communicated to consumers before the completion of any offering outside of the Backeum platform. Creators must comply with all applicable local backer protection laws regarding refunds and returns. If a backer requests a refund, the matter should be resolved directly between the backer and the creator, in accordance with the creator's stated refund policy.

Backers are advised to review the refund policy of each creator before making a purchase. Backeum is not responsible for enforcing these policies, but creators who fail to honor their stated refund policies may be subject to review and potential termination of their accounts.

Backeum's role

We may review some pages and posts on Backeum and review reported pages to identify potential violations of these terms and our policies.

We look at some pages and posts on Backeum to enforce these terms and our policies, including our Community Guidelines (https://backeum.com/community-guidelines). We also investigate reports of potential violations. These investigations may take a while to resolve and, primarily because Backeum may be exposed to risk based on what is done with funds earned on Backeum, may include reviewing activity outside Backeum.

In most situations, we will work with creators and backers to resolve potential policy violations and allow the creator or backer to continue using Backeum. Backeum may terminate creator or backer accounts when we believe it is necessary to protect creators, backers, Backeum, or the broader community, but it is not an action we take lightly.

Removing a backer from participation in annual memberships will prohibit that backer from purchasing further annual membership subscriptions on Backeum for any creator. This will not, however, result in an automatic removal of the creator or backer from Backeum unless there is an independent basis for that removal.

Account deletion

You can delete your account by contacting Backeum here (mailto://support@backeum.com). We can terminate or deactivate your account at our sole discretion.

We can terminate or suspend your account at any time at our sole discretion. We can also remove any descriptions, posts, offerings, or benefits at our sole discretion. You may not bring a claim against us for suspending or terminating another person's account, and you agree you will not bring such a claim. If you try to bring such a claim, you are responsible for the damages caused, including attorneys' fees and costs. These terms remain in effect even if you no longer have an account.

Your creations

Creators keep full ownership of their creations, and backers keep full ownership of what they post on Backeum, but give us permission to use them as part of Backeum's services. Make sure you have permission to post the creations that you make available on Backeum.

By making creations available on Backeum or otherwise posting on Backeum, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, worldwide license covering your creation or what you post in all formats and channels now known or later developed anywhere in the world to use, copy, reproduce, store, translate, transmit, distribute, perform, prepare derivative works, publicly display, and display in connection with any name, username, voice, or likeness provided in connection with it. If your creations contain any personal data, you also recognize Backeum's "legitimate interest" in it in accordance with the scope of this license.

This sounds like a lot, but it's important for us to operate our services, including hosting creations, providing and promoting offerings and trophy collections to your patrons, and enabling community features like post comments. For clarity, you keep full ownership over your creations and what you post on Backeum; we are not buying your intellectual property rights or leasing them from you for our gain. We will never try to steal your creations, use them in an exploitative way, or seek to profit off of them by any means other than facilitating memberships and offerings you've configured on Backeum.

You agree not to make available creations or otherwise make posts on Backeum that infringe others' intellectual property or proprietary rights. Backeum reserves the right to remove creations and other material that violate Backeum's terms and policies, including these Terms of Use and the Community Guidelines (https://backeum.com/community-guidelines). We respond to compliant notifications of claimed copyright infringement and have adopted and reasonably implemented a policy for terminating, in appropriate circumstances, the accounts of creators and backers who are the subject of repeated compliant notifications of claimed copyright infringement or other evidence that suggests a pattern of repeat infringement.

Backers may not use creations posted by creators in any way not authorized by the creator, including sharing those creations with others who have not purchased the offering through which those creations were made available.

Backers may trade trophies and memberships attained by endorsing a creator and, by doing so, transfer all rights and benefits made available by owning those trophies or memberships.

Trophy collection and media content

Backeum provides creators and backers the ability to showcase their donations in a virtual "Trophy Collection" within the platform and in the Radix wallet. When you start a Trophy Collection, upload media, or write posts and descriptions, you acknowledge and agree to the following terms:

  1. Content Standards: All media, including images, videos, and other content associated with Backeum features, must comply with this Terms of Service.
  2. Removal of Content: Backeum may remove any media from Trophy Collections or user-uploaded content that it determines, in its sole discretion, to be unlawful or in violation of this Terms of Service. This includes media that may infringe upon intellectual property rights, promote illegal activities, or contain hate speech, nudity, gratuitous violence, or other content deemed inappropriate.
  3. Hosting Duration: Backeum agrees to host the trophy images on the platform as long as the Backeum platform is active and operational. However, Backeum makes no guarantees about the length of time the platform will remain active and reserves the right to discontinue any or all of the services at any time without liability.
  4. Data Preservation: If Backeum ceases operations or experiences an interruption of service, reasonable efforts will be made to preserve user content. However, Backeum recommends that creators and collectors maintain personal backups of their digital media to prevent loss.
  5. No Liability: Backeum will not be liable for any deletion, corruption, or data loss associated with creations displayed in Trophy Collections. Furthermore, Backeum assumes no responsibility for the maintenance or the integrity of the media over time.

Backeum's creations

You agree that Backeum will fully own any bug reports or suggested improvements you provide to Backeum. Creators can use our copyrights or trademarks to promote their Backeum pages but can't use them for anything else without our permission.

Our creations are protected by copyright. Some examples of our creations are the text on the Backeum.com (http://backeum.com) site, the text on Backeum's other websites, our APIs, our embeds, our logo, and our codebase. We grant creators a license to use our logo and other copyrights or trademarks to promote their Backeum pages. You may not otherwise use, reproduce, distribute, perform, publicly display, or prepare derivative works of our creations unless we give you permission in writing.

We welcome your feedback on the performance of the Backeum product, including any early-access, beta, or test features to which you've been given access, and your help in identifying any problems, bugs, and defects. You agree that any suggestions, comments, ideas, bug reports, or suggested improvements that you provide will be wholly owned by us so that we can use them to improve Backeum and thereby better help the community of creators and patrons.

Indemnity

To summarize, if we are sued because of your use of or conduct on Backeum, you must help pay for it.

You will indemnify us from all losses and liabilities, including legal fees, that arise from these terms or relate to your use of Backeum. We reserve the right to exclusive control over the defense of a claim covered by this clause. If we use this right, then you will help us in our defense. Your obligation to indemnify under this clause also applies to our subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

Warranty disclaimer

To summarize, we do our best to ensure Backeum works as expected, but stuff happens.

Backeum is provided "as is" and without warranty of any kind. Any warranty of merchantability, fitness for a particular purpose, non-infringement, and any other warranty, whether express or implied, is excluded and disclaimed to the greatest extent permitted by law. The disclaimers of warranty under this clause also apply to our subsidiaries, affiliates, and third-party service providers.

Limitation of liability

To summarize, if you lose money as a result of using Backeum, any payment to you is limited to the amount of money we have earned through your use of Backeum.

To the greatest extent permitted by law, we are not liable to you for any incidental, consequential, or punitive damages arising out of these terms, or your use or attempted use of Backeum. To the greatest extent permitted by law, our liability for damages is limited to the amount of money we have earned through your use of Backeum. We are specifically not liable for loss associated with unfulfilled offerings and benefits and from losses caused by conflicting contractual agreements. For this clause, "we" and "our" is defined to include our subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

Dispute resolution

To summarize, if you have a problem, please talk to us. Any disputes with us must be resolved in Gothenburg under Swedish law.

We encourage you to contact us if you have an issue. If a dispute does arise out of these terms or in relation to your use of Backeum, then the dispute will be resolved in the federal or state courts located in Gothenburg, Sweden. Both parties consent to the exclusive jurisdiction and venue of the Gothenburg courts for the purpose of resolving any such dispute. Swedish law, excluding its conflict of law provisions, governs these terms, all other Backeum policies, and any dispute that arises between you and Backeum.

Everything else

To summarize, these terms are the final word on Backeum's policies, and we will tell you if we make material changes to them.

These terms and any referenced policies are the entire agreement between you and us, supersede all prior agreements, and don't create any partnership, joint venture, employee-employer, or franchiser-franchisee relationship between you and us. If any provision of these terms is unenforceable, then that provision is modified to the extent necessary to enforce it. If a provision cannot be modified to make it enforceable, it is severed from these terms, and all other provisions remain in force. If either party fails to enforce a right provided by these terms, it does not waive the ability to enforce any rights in the future.

We may sometimes make changes to these terms. If we make a change to these terms that, in our sole discretion, is material, we will let you know before the changes come into effect. Continuing to use Backeum after a change means you accept the new terms or policies.
